1. Distribution Model & Scope
Biome Delta operates as an authorized distributor for various third-party product, technology, and service partners (collectively, “Partners”), including but not limited to Quantified Sensor Technology, SGS Crop Science, and Pure Future Ventures. These Terms apply to all transactions and interactions across our entire product catalog.
2. Intellectual Property Protection
- Third-Party Ownership: All trademarks, service marks, logos, software, and proprietary technology (including sensor firmware and data processing algorithms) are the exclusive property of their respective owners (our Partners).
- Restrictions on Use: Purchase of a product does not grant the Purchaser any license to the Intellectual Property of Biome Delta or its Partners. You are strictly prohibited from:
- Reverse engineering, decompiling, or disassembling any hardware or software.
- Using any Partner trademarks or logos without express written consent.
- Modifying or creating derivative works based on the products provided.
3. Website Use & Content
The content on this website is for informational purposes. While we strive for accuracy regarding partner specifications and technical data, we do not warrant that product descriptions are error-free.
4. Warranty, Disclaimers & Limitation of Liability (Commercial Sales)
The following terms apply to all products sold by Biome Delta in its capacity as a Distributor:
A. Manufacturer’s Warranty Only
Products sold by Distributor are manufactured by third-party Partners and are covered solely by the applicable manufacturer’s warranty. Distributor does not provide any warranty with respect to the products and makes no representations regarding the scope, terms, or availability of any manufacturer warranty.
B. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTRIBUTOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
C. No Expansion or Modification of Warranties
Distributor is not authorized to modify, extend, or expand any manufacturer warranty. Any product descriptions, specifications, technical information, or assistance provided by Distributor are for informational purposes only and do not constitute a warranty.
D. Limitation of Remedies
Purchaser's sole and exclusive remedy for any claim relating to the products shall be limited to the remedies, if any, available under the applicable manufacturer’s warranty.
E. Limitation of Liability
IN NO EVENT SHALL DISTRIBUTOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF USE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DISTRIBUTOR’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY PURCHASER FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
5. Data Reliability
Biome Delta distributes precision instrumentation; however, we are not responsible for the misuse of data or environmental factors that may affect sensor performance. Results provided by our Partners' technologies should be verified according to industry standards for your specific application.
6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Delaware.
